YumSocial Master Terms of Service

These Terms of Service (“Agreement”) govern the business relationship between YumSocial (“we,” “us,” “our”) and the Client (“you”) across all services provided. By signing an agreement, submitting payment, or engaging YumSocial in any service, you agree to the following terms in full.


1. Scope of Services

YumSocial provides a range of creative and digital services, including but not limited to:

  • Website design & development

  • Branding, logos, and digital graphics

  • Social media management & content creation

  • Photography & videography

  • Paid advertising setup & strategy

  • Marketing consulting & coaching

Each project will be governed by a defined scope, which may be provided via written proposal, invoice, contract, or intake form. Any additional requests outside that scope may require a new agreement and fees.


2. Use of AI & Tools

We use AI-assisted tools and automation systems to optimize efficiency, content quality, and strategy. This includes image generation, content suggestions, SEO optimization, and workflow design. All outputs are reviewed by a human for brand compliance and quality.

Clients acknowledge that AI may be used in delivery and is not grounds for refund or rejection of work.


3. Intellectual Property

All creative work remains the property of YumSocial until payment is received in full.

  • After final payment, clients receive a limited, non-exclusive license to use deliverables for business purposes.

  • YumSocial retains the right to use any completed work in our portfolio, advertising, or promotional materials unless otherwise agreed in writing.

  • Unauthorized replication, reselling, or redistribution of our work is prohibited.


4. Credit & Attribution

We reserve the right to add a discreet “Created by YumSocial.co” credit on web designs and digital assets. If a client requests its removal, a removal fee may apply.


5. Payments, Deposits & Refunds

  • A non-refundable deposit is required to begin work.

  • Final balance is due upon project completion and before delivery of files or website launch.

  • Late payments beyond 10 days will incur a 5% weekly late fee.

  • No refunds will be issued for custom work, creative content, or digital consulting.


6. Communication & Timelines

  • Clients agree to provide feedback, approvals, and required materials in a timely manner.

  • Delays in content delivery, communication, or approvals may delay the final project.

  • Inactivity of 30+ days without communication may result in project termination.


7. Disputes & Legal Jurisdiction

Any legal matters will be resolved in the State of Florida, USA, specifically in St. Lucie County.
Damages shall not exceed the total paid for the specific project in question. Both parties agree to act in good faith to resolve any disputes prior to legal escalation.


8. Third-Party Tools & Hosting

YumSocial is not liable for issues caused by third-party platforms, including hosting, social media platforms, plugins, or APIs.


9. Force Majeure

We are not responsible for delays caused by illness, natural disaster, internet outages, platform failures, or other uncontrollable events.


10. Service-Specific Addendums

The following sections provide specific terms related to each service we offer:

A. Web Design & Development

  • Websites are built based on agreed specifications.

  • Includes up to two rounds of revisions unless otherwise stated.

  • Hosting and plugins are managed through third-party platforms. We are not liable for their performance.

A.B Hosting Services (When Provided by YumSocial)

For clients who subscribe to our managed hosting plan, YumSocial will provide secure, fast, and monitored hosting services as outlined in the service agreement.

Our responsibilities include:

  • Managing server setup, plugin updates, and security configurations

  • Performing basic uptime monitoring and scheduled maintenance

  • Assisting with technical troubleshooting related to hosting

Limitations of our liability:

  • We are not responsible for outages or issues caused by external providers (e.g., DNS propagation delays, upstream server errors, or data center outages).

  • We are not liable for client-side issues, such as unauthorized plugin installations, content deletions, or malware introduced through insecure passwords or third-party access.

Data and Backups:

  • YumSocial performs regular backups as part of the hosting service. However, we strongly encourage clients to maintain their own backups of critical data and content.

Hosting Cancellation:

  • If hosting is canceled or payment lapses, YumSocial reserves the right to suspend or remove the website after a 7-day grace period.

  • A backup of your site can be provided upon request prior to cancellation, but reinstating a site from backup may incur a reactivation fee.

B. Social Media Management

  • YumSocial will post agreed content and maintain schedule based on monthly contract.

  • Access to platforms must be provided in advance.

  • We are not responsible for platform bans, community guidelines, or algorithm changes.

C. Photography & Videography

  • Edited content will be delivered in formats agreed upon.

  • Raw files remain property of YumSocial unless licensed separately.

  • A model release may be required when featuring individuals.

D. Paid Ads & Marketing Strategy

  • Client is responsible for ad spend unless otherwise noted.

  • Results may vary; we do not guarantee leads, traffic, or ROI.

  • Platforms and accounts must comply with terms of Facebook, Google, etc.

E. Consulting & Coaching

  • Services are advisory in nature; implementation is client’s responsibility.

  • No business, financial, or legal guarantees are made.


By entering into service with YumSocial, you confirm you have read, understood, and agree to these Terms of Service.
